(LMGT), Italian company Telespazio S.p.A. and US company TRW Inc. for the purpose of developing and marketing of global on-demand, two-way satellite broadband data communication services. The estimated service launch of Astrolink is in 2003. Given intense global competition from similar satellite service initiatives the creation of this new joint venture does not raise competitive concerns. LMGT is a subsidiary of the US company Lockheed Martin Corporation (LMC), whose investments in telecommunication, information and technology sectors it combines. In 1995, LMC established its Astrolink International Ltd to develop and market global satellite broadband data communication services (GBDC), but it has not yet commenced providing these services. Telespazio is a subsidiary of Telecom Italia and involved in the provision of satellite communications systems services, in-orbit control management and operation of satellite communications networks. TRW is a US company active in the supply of technology products and services for automotive, space, defence and information systems industries. Astrolink is a US limited liability company, which will be jointly controlled by LMGT, Telespazio and TRW. Its main customers will be telecommunications service providers. Astrolink's end-users are likely to be business customers using satellite GBDC services mainly for the purpose of corporate data services. For the purpose of developing and marketing satellite GBDC services, Astrolink will enter into contractual relationships, e.g. supply and distribution agreements, with its parents. The joint venture is likely to be confronted with significant competition by similar satellite GBDC initiatives. Therefore, the Commission considers that Astrolink will not create or strengthen a dominant position which would significantly impair competition in the European Economic Area (EEA) or any substantial part thereof. The Commission has therefore not oppose this operation and declared it compatible with the common market and the EEA Agreement.
