Home Page > Archivio delle notizie > Notizia Commission approves Wind's acquisition of Enel's internal telecoms network, Enel STC (both Italy)The European Commission has decided to approve the acquisition by Wind Telecomunicazioni S.p.A., an Italian telecommunications operator jointly controlled by Enel S.p.A., Italy (Enel), France Telecom SA (FT), France, and Deutsche Telekom AG (DT), Germany, of Enel's internal telecommunications network. The operation is pro-competitive, given that Wind is still a relatively new entrant on the Italian telecommunications market, and will through this operation improve its market share. Enel is the principal electricity provider in Italy. Enel STC constitues Enel's private telecommunications network. Wind provides fixed line telecommunications services, data transmission, mobile telephony and enhanced global services in Italy. Wind will acquire all of Enel STC's assets, employees, concessions, contracts and liabilities. The assets include Enel's private telecommunications network. Wind's shareholders will subscribe to an increase in its share capital: DT and FT will contribute in cash through their jointly controlled holding DT/FT Holding whilst Enel will contribute in kind by the transfer of Enel STC. Wind's current market share is below 15% for any telecommunications services market. Given the very substantial market shares of Telecom Italia, Telecom Italia Mobile (TIM) and Omnitel Pronto Italia for the largest among these markets in Italy, the acquisition does not strengthen a dominant position there but rather increase competition. Under the terms of an outsourcing agreement Wind will also provide telecommunications services to Enel on an exclusive basis for a certain period of time. This will allow Wind to obtain a guaranteed source of revenues and thus further strengthen its competitive position. For these reasons, the Commission has decided to authorise the notified operation and to declare it compatible with the the European Economic Area (EEA) Agreement.
